These Terms of Service ("Terms") govern your access to and use of the website located at metrodata.co.id and its subdomains, staging environments, and any other digital properties operated by or on behalf of PT Metrodata Electronics Tbk ("Metrodata," "we," "us," or "our"), including pages for solutions, insights, investor relations, careers, and contact (collectively, the "Site"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all applicable laws and regulations.

PT Metrodata Electronics Tbk is a publicly listed information and technology company incorporated in the Republic of Indonesia. Metrodata provides enterprise IT solutions, including cloud services, cybersecurity, business applications, consulting and advisory services, big data and analytics, hybrid IT infrastructure, digital business platforms, and managed services to organizations across Indonesia and the broader region.

The Site is an informational and corporate communications platform. It is intended to describe Metrodata's business, solutions, partnerships, news and insights, investor information, career opportunities, and corporate governance. Unless expressly stated on a specific page, content on the Site does not constitute an offer to sell or a solicitation to purchase securities, products, or services in any jurisdiction where such activity would be unlawful.

Metrodata may operate the Site from facilities in Indonesia and may use third-party hosting, content delivery, analytics, and security providers. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METRODATA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF METRODATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, METRODATA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE MILLION INDONESIAN RUPIAH (IDR 1,000,000) OR (B) THE AMOUNT YOU PAID TO METRODATA, IF ANY, FOR ACCESS TO THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

The limitations in this Section apply regardless of whether any remedy fails of its essential purpose. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where such limitation is prohibited.

11. Indemnification

You agree to defend, indemnify, and hold harmless Metrodata and its directors, officers, employees, affiliates, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Site, your Submissions, or your violation of any rights of a third party.

Metrodata reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Metrodata in asserting any available defenses. Your indemnification obligations survive termination of your access to the Site.

12. Privacy

Your privacy is important to us. Our collection, use, disclosure, and protection of personal information in connection with the Site are described in our Privacy Policy, which explains what data we collect, how we use it, how long we retain it, and your rights under applicable data protection laws, including Indonesia's Personal Data Protection Law (Law No. 27 of 2022) where applicable.

These Terms and any dispute or claim arising out of or in connection with them or the Site shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict-of-law principles that would require the application of the laws of another jurisdiction.

You agree that the courts located in Jakarta, Indonesia shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or relating to these Terms or the Site, subject to any mandatory consumer protection or employment laws that may provide otherwise where applicable.

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct communication. You may contact us using the details in Section 17. Nothing in this Section prevents either party from seeking interim injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property or confidential information.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent and economic effect of the invalid provision, to the extent permitted by applicable law.

16. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms expressly incorporated by reference, constitute the entire agreement between you and Metrodata regarding the Site and supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether written or oral, relating to the subject matter hereof.

No failure or delay by Metrodata in exercising any right or remedy under these Terms shall operate as a waiver of that or any other right or remedy. A waiver is effective only if given in writing and signed by an authorized representative of Metrodata. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Metrodata may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
